Assignments, Name Changes or Adoptions of Agreements
When a company sells, transfers rights or conveys an existing facility, the License Agreement must be updated. An Assignment Application is used to gather the necessary information to accomplish the transfer. All agreements must be Assigned or Adopted by the new Licensee or Leasee when the name of the former Licensee or Leasee changes whether the facility was sold or the company changes their name.

All applications sent to Railamerica must be accompanied by the fees shown on the application. The Application fee covers processing the Application and the subsequent preparation of the Assignment or Adoption. Annual fees may also apply. The application and drawings must be reviewed to determine whether they will apply.
When the Assignment or Adoption documents have been completed and approved, an Agreement will be prepared and three (3) copies will be sent to the applicant for signature. After the agreements are signed by the applicant, they must be must be returned to Railamerica, along with the required fees and proof of insurance in the form of a certificate, naming the railroad as an additional insured.
The signed agreement will then be forwarded to the railroad for execution. After the railroad has signed the agreement, the applicant will be furnished an executed copy for their records. |
